1. Name
The charity’s name is Livingstone Academy Bournemouth Parent, Teacher & Friends Association (LA-PTFA).
2. Purpose
The purposes of the charity are to:
- Improve the school experience for students and the school community, helping to make the school a better environment for children to learn
- Raise additional funds through a wide range of fun and creative initiatives, events and fundraising opportunities to help pay for things that the school budget can’t always cover, such as learning resources and play equipment
- Help to connect school and home life, encouraging parents to be more involved in their children’s education and promoting cultural exchange by ensuring students and families from all diverse backgrounds feel welcome and included
3. Trustees
The charity shall be managed by a committee of trustees who are appointed at the Annual General Meeting (AGM) of the charity.

Carrying out the purposes
The trustees have the power to:
- Raise funds, receive grants and donations
- Apply funds to carry out the work of the charity
- Co-operate with and support other charities with similar purposes
- Do anything which is lawful and necessary to achieve the purposes
4. Membership
The charity shall have a membership. People who support the work of the charity and are aged 18 or over can apply to the trustees to become a member. Once accepted by the trustees, membership lasts for 3 years and may be renewed. The trustees will keep an up-to-date membership list.
The trustees may remove a person’s membership if they believe it is in the best interests of the charity. The member has the right to be heard by the trustees before the decision is made and can be accompanied by a friend.

6. Roles & Responsibilities
Chair
- Chair meetings and encourage participation
- Set agendas and meeting dates
- Delegate tasks and implement decisions
- Liaise with the school on fundraising priorities
- Welcome and motivate volunteers
- Act as a designated bank signatory
- Ensure regulatory compliance
Secretary
- Assist with planning meetings
- Circulate agendas and communications
- Record decisions and action points
- Manage communications
- Ensure meetings are quorate
- Maintain records
Treasurer
- Manage day-to-day finances
- Maintain accurate financial records
- Report finances at meetings
- Arrange event floats
- Safeguard and bank funds
- Make Gift Aid claims
- Manage expenses and payments
Pre-Loved Uniform Coordinator
- Collect donated items
- Sort and prepare uniforms
- Manage stock
- Sell items at events or collection days
7. Meetings
Annual General Meeting (AGM)
- Held annually with at least 14 days’ notice
- Minimum of 3 members present
- One vote per member
- Trustees present annual report and accounts
- Members elect between 3 and 10 trustees
Trustee Meetings
- At least 3 meetings per year
- Quorum of 3 trustees
- Conflicts of interest must be declared
- Up to 2 additional trustees may be appointed
- Additional rules may be made provided they do not conflict with the constitution or the law
8. Money and Property
- Used only for the charity’s purposes
- Trustees must keep accounts
- Only reasonable out-of-pocket expenses may be refunded
- Funds must be held in the charity’s bank account
- Cheques require two trustee signatures
9. Winding Up
- Changes or winding up require a General Meeting
- 14 days’ notice must be given
- Decisions require a two-thirds majority
- Remaining funds must be transferred to a charity with similar purposes
- No change may remove charitable status
10. Setting Up the Charity
This constitution was adopted on Tuesday 17th September 2024.
